Ai.Aethelon is an AI-powered Software-as-a-Service (SaaS) platform that enables users to generate images from natural language text prompts ("Prompts") using third-party and proprietary machine learning models. The Service may include, without limitation:
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with or without notice.
To access most features of the Service, you must register for an account. When creating your account, you agree to:
We reserve the right to terminate or suspend your account at our sole discretion, including for violation of these Terms, without notice or liability.
The Service operates on a credit-based system. Credits are consumed when you generate images or use other credit-eligible features. The number of credits consumed per generation depends on the selected model, image size, and other parameters. We reserve the right to adjust credit costs at any time.
Credits may be purchased through our pricing plans (one-time purchases or subscriptions). All payments are processed by third-party payment processors. By making a purchase, you agree to the payment processor's terms of service in addition to ours.
Subscription plans automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
Credits that have been consumed through Service usage are non-refundable. Unused credits may be eligible for refund subject to our Refund Policy. We do not provide refunds for partial billing periods.
All prices are exclusive of applicable taxes. You are responsible for any sales, use, value-added, or other taxes associated with your purchase, except for taxes based on our net income.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree not to use the Service to:
We may monitor usage for compliance purposes and may remove content or terminate accounts that violate this policy at our sole discretion.
You retain ownership of the text prompts you submit ("Input") and, to the extent permitted by applicable law and the underlying model's terms, the images generated as a result ("Output"). You are solely responsible for all Input you provide and all Output you use or distribute.
By submitting Input to the Service, you grant Aethelon a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, and display your Input and Output solely to operate, improve, and provide the Service, including for safety monitoring and model improvement, unless you have opted out of such use in your account settings.
AI-generated images are created by machine learning models and may be unexpected, inaccurate, or unsuitable for your intended purpose. We make no representation that Output will meet your requirements or be free from errors.
You agree not to use Output for any purpose that would violate any applicable law or third-party rights. We are not responsible for how you use Output generated by the Service.
The Service, including its design, software, algorithms, trademarks, and all associated content created by Aethelon, is the exclusive property of Aethelon Inc. and its licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited license to use the Service as expressly stated herein.
If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant us an irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without compensation to you.
We respect intellectual property rights. If you believe content on our Service infringes your copyright, please submit a notice to service@aethelon.me with the subject line "DMCA Notice" and include the information required under 17 U.S.C. § 512(c)(3).
The Service integrates or may integrate with third-party AI model providers, payment processors, authentication providers, and other services. Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of any third-party services.
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and sharing of information as described in the Privacy Policy.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AETHELON, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Aethelon Inc. and its officers, directors, employees, agents, licensors, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your Input, Output, or other content you submit; or (d) your violation of any third-party rights, including intellectual property or privacy rights.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Before initiating formal proceedings, you agree to contact us at service@aethelon.me and attempt to resolve any dispute informally for at least 30 days.
If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall be conducted in English on an individual basis. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND AETHELON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found unenforceable, the arbitration clause shall be null and void.
Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims relating to intellectual property infringement may be brought in a court of competent jurisdiction.
We comply with the provisions of the Digital Millennium Copyright Act (17 U.S.C. § 512). We will respond expeditiously to claims of copyright infringement committed using the Service. Repeat infringers' accounts may be terminated in accordance with our repeat infringer policy.
We may suspend or terminate your access to the Service at any time and for any reason, including for violation of these Terms, without notice or liability. Upon termination: (a) your right to use the Service immediately ceases; (b) unused credits may be forfeited unless otherwise required by law; (c) provisions of these Terms that by their nature should survive will survive termination, including but not limited to Sections 7, 8, 11, 12, 13, and 14.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date, and/or by sending an email to your registered address. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Aethelon regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, government actions, internet outages, or third-party service failures.
The Service is subject to U.S. export laws and regulations. You may not export or re-export the Service or any underlying technology in violation of U.S. export laws, including to embargoed countries or sanctioned parties.
